FLUX

Terms of Service

Effective [EFFECTIVE DATE] · Last updated [DATE]

Before publishing: this is a drafted starting point, not legal advice, and it has not been reviewed by a lawyer. Complete every [BRACKETED] field and have counsel review it. Liability caps, disclaimers and governing-law clauses are only enforceable to the extent your jurisdiction permits, and consumer-protection law may override them.

These Terms govern your use of Flux, a collaborative whiteboard provided by [LEGAL ENTITY NAME] ("we", "us") at [APP URL]. By using Flux you agree to them. If you do not agree, do not use Flux.

1. The service

Flux is a browser-based infinite canvas for notes, tasks, diagrams and documents, with optional real-time collaboration over a shared link. It requires no account.

2. No account, no recovery

Flux does not have sign-in. Your identity is a randomly generated guest identifier held in your browser. This has consequences you must understand before relying on Flux:

Keep your own copies of anything that matters. Use the export function for work you cannot afford to lose.

3. Collaboration and shared boards

When you share a board link, everyone holding it can view and edit that board, and can see the display name and cursor of everyone present. You are responsible for who you give a link to, and for what you and your collaborators place on a shared board. Real-time collaboration requires all participants to be online at the same time and may be unavailable depending on network conditions.

4. Acceptable use

You agree not to use Flux to:

5. Your content

You keep all rights to what you create in Flux. We claim no ownership and no licence to it, and we do not read it. Because we do not host your boards, we have no ability to moderate, remove, or disclose their contents — responsibility for content on a board rests with the people on it.

6. Our content

Flux itself, including its software, design and branding, belongs to [LEGAL ENTITY NAME] and its licensors, and is provided to you under a limited, revocable, non-exclusive licence to use the service as intended. Flux includes third-party open-source components, each governed by its own licence.

7. Availability

Flux is provided free of charge and with no uptime commitment. We may change, suspend or discontinue any part of it — including collaboration — at any time and without notice. [If you introduce paid plans, replace this section with your billing, renewal and refund terms.]

8. Disclaimer of warranties

To the fullest extent permitted by law, Flux is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and any warranty that the service will be uninterrupted, secure, or error-free, or that data will not be lost.

9. Limitation of liability

To the fullest extent permitted by law, we will not be liable for any indirect, incidental, special, consequential or punitive damages, nor for any loss of data, profits, goodwill or business, arising from your use of or inability to use Flux. Our total aggregate liability arising out of these Terms will not exceed [AMOUNT — e.g. the greater of USD 50 or amounts you paid us in the preceding 12 months].

Nothing in these Terms excludes liability that cannot lawfully be excluded, including for death or personal injury caused by negligence, or for fraud. Some jurisdictions do not allow certain exclusions, so parts of this section may not apply to you.

10. Indemnity

You agree to indemnify and hold us harmless from claims, damages and reasonable legal costs arising from your content, your use of Flux, or your breach of these Terms. [Consider narrowing or removing this for consumer users — broad indemnities are often unenforceable against consumers.]

11. Termination

You may stop using Flux at any time; clearing site data removes your local copy. We may suspend or terminate access if you breach these Terms or if we discontinue the service.

12. Governing law and disputes

These Terms are governed by the laws of [JURISDICTION], without regard to its conflict-of-laws rules. Disputes will be resolved in the courts of [VENUE]. [If you want arbitration or a class-action waiver, that must be drafted by counsel and, in many jurisdictions, presented conspicuously and separately acknowledged.]

13. Changes

We may update these Terms. Continued use after an update means you accept the revised Terms. Material changes will be noted in the app.
